Direct answer: For an amalgamation correctly classified as being in the nature of purchase under AS 14, compare measured shareholder consideration with the accepted net assets acquired. A positive excess is goodwill; a shortfall is capital reserve. Keep statutory-reserve preservation entries separate from that purchase-price bridge.

Standard checked on 22 October 2026 against ICAI’s AS 14, Accounting for Amalgamations, revised 2016. This article is for an entity applying Accounting Standards rather than Ind AS. It does not apply Ind AS 103 rules to an AS 14 transaction, nor assume that buying shares in a company that continues as a separate entity is an AS 14 amalgamation.

Classification is a prerequisite to the calculation

AS 14 prescribes five cumulative conditions for an amalgamation in the nature of merger. They address transfer of all assets and liabilities, the specified equity-shareholder continuity test, equity consideration subject to fractional-share cash, continuation of business, and book-value continuity except for uniform accounting policies. Failure of any condition leads to purchase classification. Retain an explicit condition-by-condition conclusion before choosing the accounting method.

The equity continuity test is expressed by face value and excludes specified pre-existing holdings; a simple headcount of shareholders is not the test. The ICAI Bangalore Branch study-circle material provides educational background on the purchase method. Its 2009 date means the revised standard, including current statutory-reserve presentation, remains the controlling reference.

Build two schedules before recording goodwill

First list what the transferee gives to transferor shareholders: cash, shares, other securities and other assets. Measure non-cash elements on the applicable AS 14 basis. A securities face value is not automatically its fair value. Distinguish amounts paid to creditors from the consideration paid to shareholders and reconcile the related liabilities so neither side is omitted or counted twice.

Next prepare the accepted assets-and-liabilities schedule. Under the purchase method, AS 14 permits incorporation at existing carrying amounts or allocation to identifiable assets and liabilities based on fair values at amalgamation. Document the adopted basis and the complete recognised balances. Do not import a blanket assertion that every AS 14 purchase must use only a fair-value acquisition model.

The difference between consideration and net assets then determines goodwill or capital reserve. It is not a plug for unreconciled balances, legal fees or omitted liabilities. The numerical illustrations assume the recognised asset and liability amounts, including any applicable tax balances, have already been properly established; they do not provide a valuation opinion or tax-neutrality conclusion.

Contingent consideration and subsequent goodwill

AS 14 includes an additional contingent payment when payment is probable and a reasonable estimate can be made; otherwise recognition follows when its amount becomes determinable. Retain the scheme’s actual clause and the estimation support. Do not substitute an Ind AS subsequent-measurement policy without checking the applicable AS framework.

Goodwill is amortised systematically over its useful life, ordinarily no longer than five years unless a somewhat longer period is justified. Support both the life and amortisation pattern, review applicable impairment requirements separately, and reconcile opening value, additions, amortisation and closing carrying amount. An AS 14 goodwill file should not default to an impairment-only model.

Statutory reserves are a separate bridge

Where the relevant statute’s preservation requirements are met, record the statutory reserve and a matching debit to an appropriate Amalgamation Adjustment Reserve, presented separately. Reverse both when preservation is no longer required. Such a matching pair does not itself add shareholder consideration or goodwill. Also inspect any reserve treatment prescribed by a statutorily sanctioned scheme and the required disclosures of deviations.

For disclosure drafting, connect the parties, accounting effective date, method and sanctioned scheme to the consideration and net-asset reconciliation. Explain the treatment of the resulting difference and goodwill amortisation period. The reader should be able to trace the note to the same acquisition-date schedules rather than to a disconnected transaction summary.

Worked illustrations

These illustrations use fictional facts and expressly stated assumptions. Amounts are Indian rupees unless a different currency or unit is specified. They are independent examples, not findings about any actual client.

Illustrative example 1: Measure shareholder consideration separately from creditor settlement

The transferee pays shareholders ₹5,00,000 cash and issues 40,000 shares with accepted fair value ₹20 each, although face value is ₹10. Consideration is ₹5,00,000 + ₹8,00,000 = ₹13,00,000. A separate ₹3,00,000 creditor settlement is not shareholder consideration; reconcile that creditor liability separately rather than reporting consideration of ₹16,00,000.

Illustrative example 2: Goodwill from a positive difference

Accepted assets acquired are ₹18,00,000 and liabilities assumed ₹6,00,000. Net assets are ₹12,00,000. Against measured consideration of ₹13,00,000, goodwill is ₹1,00,000. The ₹6,00,000 liability deduction belongs in the net-assets calculation, not as an arbitrary further reduction of consideration.

Illustrative example 3: Capital reserve when consideration is lower

In an independent transaction, accepted net assets are ₹12,00,000 and consideration ₹10,00,000. The difference is ₹2,00,000 capital reserve. Calling that difference negative goodwill and amortising it as an expense would not follow the stated AS 14 purchase-method treatment.

Illustrative example 4: Include a supportable contingent payment

Base shareholder consideration is ₹10,00,000. Additional scheme consideration of ₹3,00,000 is probable and reasonably estimable at amalgamation. Total consideration is ₹13,00,000. With accepted net assets of ₹9,00,000, goodwill is ₹4,00,000, rather than the ₹1,00,000 calculated by omitting that contingent component.

Illustrative example 5: Reconcile goodwill amortisation

Goodwill of ₹6,00,000 has a supported five-year useful life and a straight-line pattern. Assuming two complete years, no residual value, no impairment and no other adjustment, annual amortisation is ₹1,20,000. Accumulated amortisation after two years is ₹2,40,000 and carrying amount ₹3,60,000. Actual part-year periods need their own calculation.

Illustrative example 6: Preserve and subsequently release a statutory reserve

A qualifying statutory reserve of ₹2,00,000 must retain its identity. Credit that reserve ₹2,00,000 and debit Amalgamation Adjustment Reserve ₹2,00,000, subject to AS 14 and the applicable statute. The matching amounts net to zero in this bridge and do not add ₹2,00,000 to consideration or goodwill. When preservation is no longer required, reverse both ₹2,00,000 balances; this matching reversal is not a fabricated cash receipt.

Sixteen practitioner FAQs

1. Does buying shares in a continuing subsidiary automatically invoke AS 14?

No. AS 14 distinguishes amalgamations from acquisitions where the acquired company’s separate entity continues.

2. Can an Ind AS entity use these entries without further analysis?

No. Establish the applicable reporting framework; this guide addresses AS 14 rather than Ind AS 103.

3. Is one failed merger condition enough for purchase classification?

AS 14 treats an amalgamation as in the nature of purchase when one or more of the specified merger conditions are not satisfied.

4. Is shareholder continuity measured by headcount?

No. Apply the specified face-value test and exclusions to the relevant equity holdings.

5. Is share face value necessarily the consideration measurement?

No. Assess the non-cash element using AS 14’s measurement requirements and retain supporting evidence.

6. Are creditor repayments automatically purchase consideration?

No. The consideration definition focuses on what is given to shareholders. Reconcile creditor settlements and liabilities separately.

7. Must every purchase-method balance be recorded only at fair value?

AS 14 also permits incorporation at existing carrying amounts. Document the applicable alternative and adopted policy.

8. What creates goodwill in the purchase bridge?

Consideration exceeding the accepted net assets acquired, after complete and supportable measurement of both schedules.

9. What if net assets exceed consideration?

The difference is treated as capital reserve under the purchase-method requirement.

10. When is a contingent payment included?

When payment is probable and a reasonable estimate can be made; otherwise AS 14 addresses recognition once the amount becomes determinable.

11. Is AS 14 goodwill impairment-only?

No. It is systematically amortised over its useful life, with the standard’s limit and justified longer-period qualification.

12. Is five years an unconditional life for every transaction?

No. Support the useful life and pattern; the standard permits a somewhat longer period only when justified.

13. Do all transferor reserves carry forward under the purchase method?

No. Apply the specific treatment for statutory reserves and any relevant sanctioned-scheme requirements rather than carrying every reserve automatically.

14. Does statutory-reserve preservation increase goodwill?

A matching statutory-reserve credit and adjustment-reserve debit is a separate preservation entry, not additional shareholder consideration.

15. What happens when the statutory retention requirement ends?

Reverse the statutory reserve and its corresponding adjustment account as prescribed, with evidence that the identity requirement has ended.

16. Which disclosures connect the accounting to the transaction?

Identify the parties, effective date, method and scheme, then explain consideration, the net-asset difference and any goodwill amortisation period.

Working-paper organisation

Keep the source documents, calculation and final conclusion together for the same entity and period. If using assureFinancials or other assureOffice tools, use only confirmed available functions and retain this evidence with the output.

Conclusion

Start with framework and classification, then reconcile shareholder consideration and accepted net assets. Keep goodwill amortisation and statutory-reserve preservation visible as distinct accounting schedules.
