The order triggers a separate return analysis

For FY 2025–26 and AY 2026–27, apply the Income-tax Act, 1961 and the procedure saved by section 536 of the Income-tax Act, 2025, even if the return is filed on or after 1 April 2026. Section 170A applies to a business reorganisation involving amalgamation, demerger or merger where an entity covered by a qualifying order already furnished a return under section 139 before the order for an affected assessment year. The successor files the modified return. For section 170A, successor means all resulting companies, including those already in existence before the reorganisation. Under subsection (3), use the applicable tax rates and other provisions for the relevant AY, subject to section 170A. The competent authority may be a High Court, tribunal or the specified Insolvency and Bankruptcy Code adjudicating authority. A board-approved proposal alone is not the qualifying order.

Build a date register for every entity and year

Record the effective date stated in the order, the order’s issue date, the affected FY and AY, and the relevant section 139 filing date and acknowledgment. Where dates differ, preserve evidence of when the order was issued. Section 170A measures six months from the end of the month in which the order was issued. It does not count from the scheme effective date or the date a copy reaches the tax team. If no section 139 return was furnished before the order for that affected year, the section 170A trigger is absent for that year; determine the correct original or other filing treatment separately.

Limit the changes to the order

Use a matrix with predecessor, successor, assessment year, original amount, order-linked movement, resulting amount and source evidence. Cross-check whether operations, income, deduction and credit were duplicated in the original entity records. Show changes arising from the order and document the independent statutory basis for the tax treatment. A sanctioned scheme does not by itself establish every loss carry-forward, credit entitlement or deduction; test those rules separately. Keep unrelated omissions outside the modified return.

Match the wrapper and return fields

Under Rule 12AD use Form ITR-A electronically under digital signature. ITR-A A4 identifies the AY; A5–A7 record prior filing information and acknowledgment; A8 identifies the authority, order date and number and effective date; A9 calls for the relevant modified ITR-6. For AY 2026–27, notified ITR-6 Part A-GEN A19(aii)(1) contains the section 170A filing selection, A19(b) the original receipt number and filing date, and A19(c) the order identifier and date. CBDT validation rule 19 checks that the unique number or DIN and date are provided for this route. Match the source documents and applicable portal requirements; never invent a DIN or use a different filing section merely to clear validation.

Separate assessment follow-up and the ordinary filing calendar

Under section 170A(2), once the successor furnishes the modified return, the Assessing Officer modifies a completed assessment or reassessment in line with the order, taking the modified return into account. If proceedings are pending on the filing date, the officer completes them in accordance with the order and takes the modified return into account. Rule 12AD contains corresponding procedural directions. Keep the DSC submission acknowledgment, working and relevant assessment status. For the ordinary AY 2026–27 company calendar, Circular 7/2026 extended the covered 31 October return class to 21 November 2026 and its specified 30 September audit-report date to 21 October. The section 92E return class retains the separate 30 November 2026 statutory return date under the applicable provision; the circular is not a general extension of section 170A. The Department lists ITR-6 offline utility 1.0.2 from 4 November 2026 and separate AY schema and validations. Verify the current ITR-A filing route and compatible attachment before signing.

Six worked illustrations

All facts and amounts are fictional. Calculations illustrate the stated assumptions, not a predetermined legal outcome.

Illustrative example 1: Order late in November

A covered entity filed on 18 November 2026 before a qualifying order issued 25 November. Assuming AY 2026–27 is affected, the base date is 30 November 2026 and six months expire 31 May 2027.

Illustrative example 2: Order early in December

An affected return predates the 2 December 2026 order. From the end of December, the six-month statutory date is 30 June 2027, subject to any applicable specific relief.

Illustrative example 3: Original return follows the order

An order is issued 9 October 2026 and the only relevant section 139 return was filed 20 October. The filing came 11 days after the order, so this return does not satisfy the pre-order trigger.

Illustrative example 4: Order-linked taxable business result

Original successor business income is ₹36 lakh. Under the order and assumed applicable tax treatment, add transferred taxable revenue of ₹16 lakh and allowable related costs of ₹11 lakh. The modified figure is ₹41 lakh, a net increase of ₹5 lakh.

Illustrative example 5: Remove a duplicate transfer line

A supported incoming taxable amount is ₹14 lakh, but ₹4 lakh of it is already in the successor's original ₹24 lakh figure. Add only ₹10 lakh, yielding ₹34 lakh rather than ₹38 lakh on these facts.

Illustrative example 6: Unrelated correction outside ITR-A

The original figure is ₹28 lakh. The order adds ₹7 lakh; a separate ₹2 lakh omission is unrelated. The order-linked figure is ₹35 lakh. Examine the unrelated item under its applicable correction procedure.

Sixteen practitioner FAQs

1. Does section 170A cover a proposal still awaiting approval?

The statutory trigger requires a qualifying order, plus the relevant prior filing.

2. Who furnishes the modified return?

The successor within section 170A.

3. Must every affected year have a pre-order filing check?

Yes. Test each affected AY and entity's filing evidence against the statutory condition.

4. Is the date printed on the scheme the filing clock?

Use the month of issuance of the order for the section 170A clock.

5. Can the tax team's receipt date extend the period?

Section 170A(1) uses issuance, not internal receipt.

6. What if the only return followed the order?

That filing does not satisfy the pre-order condition; check the applicable filing route separately.

7. What if the prior return was not filed under section 139(1)?

Check whether it was furnished under section 139 and before the order, rather than assuming subsection (1) is the only route.

8. Is ITR-A the same as selecting the ITR-6 filing section?

ITR-A is the prescribed modified-return form; A9 calls for the relevant modified ITR-6.

9. Which ITR-A field holds the scheme effective date?

A8(d); keep it distinct from the order date in A8(b).

10. Can an unrelated missed deduction be inserted?

The modified return must be limited to the order.

11. Does a court order guarantee loss carry-forward?

No. The applicable substantive tax conditions still need evidence.

12. Does section 92CD cover this filing?

It is a separate route for an advance pricing agreement.

13. Which authentication method is prescribed?

Rule 12AD requires electronic filing under digital signature.

14. What if assessment is already complete?

Section 170A(2) and Rule 12AD address order-based modification of the completed assessment or reassessment.

15. What if assessment is pending?

The officer proceeds taking the order and the modified return into account.

16. Does the 21 November extension set the ITR-A deadline?

It applies to the covered ordinary return class; compute the separate section 170A period from the order.
