Read the order before restricting the whole balance sheet
Companies Act section 221 permits the Tribunal, on the stated reference, inquiry/investigation or complaint facts, to restrict removal, transfer or disposal of company funds, assets or property. It can prohibit the stated acts for a specified period not exceeding three years, or permit them subject to conditions and restrictions. The actual order controls the assets, transactions, conditions and period; the statutory maximum is not an automatic three-year blanket freeze.
Read the applicable text: NCLT-hosted Companies Act section 221.
Separate the procedural documents
Keep the reference or complaint, supporting evidence, interim or final order and later variations separately identified. A creditor allegation or a company’s request for operating relief is not itself the operative direction. This article addresses implementation of an actual order, not every applicant’s standing, a filing template or the merits of an asset-freezing application.
Map funds and property precisely
Identify bank accounts, deposits, land, equipment or other property actually described. Reconcile book values, account balances and legal identifiers without assuming they measure the same thing. An asset register total is not a substitute for the order’s description. Likewise, a securities-restriction order under section 222 is a separate statutory control and should not be substituted for the section 221 asset analysis.
Implement conditional permission as written
An order may allow specified payments or dealings subject to stated conditions. Record the approved purpose, amount, documents, recipient and period. Do not expand a permission for wages into a general operating-expense authority. Check whether a ceiling is per payment, cumulative or period-specific; a software balance cannot decide that legal question.
Maintain current versions and movement records
Reconcile each proposed and completed transaction to the order and any later operative variation. A pending application does not release assets by itself. Retain actual dates, bank acknowledgements and property-movement evidence. The three-year statutory maximum should not be converted mechanically to a fixed day count; calendar wording and operative dates matter.
Report the control position accurately
A restricted account balance, an accounting provision, a payment refusal and a final legal liability are different facts. Explain the scope, allowed movements and unresolved interpretation issues without inventing a penalty calculation or guaranteeing permission outside the order. The illustrations assume fictional operative terms; they do not establish rights under any actual case.
Six worked illustrations
All facts and amounts are fictional. Calculations illustrate the stated assumptions, not a predetermined legal outcome.
Illustrative example 1: Restricted account population
Total bank balances are ₹80 lakh; an assumed order specifically covers accounts totaling ₹50 lakh. The remaining ₹30 lakh is outside that identified account population, not automatically free of every other restriction. Match the actual accounts rather than freezing all ₹80 lakh by default.
Illustrative example 2: Cumulative permitted payments
Assume the operative order permits specified payments up to ₹12 lakh cumulatively and qualifying completed payments are ₹7 lakh. Remaining mathematical headroom is ₹5 lakh. Each further payment must still meet the purpose and other conditions.
Illustrative example 3: Purpose-specific ceiling
An assumed permission covers wages ₹4 lakh and statutory payments ₹2 lakh as distinct categories. Total possible amounts are ₹6 lakh, but unused wage capacity cannot automatically be moved to another category. Preserve both limits rather than one unrestricted ₹6 lakh pool.
Illustrative example 4: Partial property match
A proposed property-disposal schedule totals ₹25 lakh in stated book values; ₹18 lakh relates to property described in the assumed order and ₹7 lakh does not. The ₹18 lakh needs the order-specific restriction review; the ₹7 lakh still needs ordinary legal review. Book value is not an adjudicated sale value.
Illustrative example 5: Variation versus request
An assumed later operative order releases ₹10 lakh of an original ₹40 lakh restricted deposit population. Updated restricted population is ₹30 lakh. A company’s unapproved request for the same release would not produce that change.
Illustrative example 6: Remove overlapping balances
A control report shows account balance ₹20 lakh and a separate ₹5 lakh sub-ledger already included in that balance. Correct unique population is ₹20 lakh, not ₹25 lakh. Link the sub-ledger to the bank account before reporting asset coverage.

Sixteen practitioner FAQs
1. Does a complaint itself freeze every asset?
No. Identify the actual operative order and its scope.
2. Can an order contain conditional permission?
Yes. Section 221 contemplates conditions and restrictions on permitted dealings.
3. Is every order automatically for three years?
No. Three years is the maximum stated period, not the default duration.
4. Does an asset register total establish coverage?
No. Match actual assets and funds to the order.
5. Are book values identical to legal relief amounts?
Not necessarily. Preserve their different purposes.
6. Can permission for wages cover any operating expense?
Not automatically. Apply the specified purpose and conditions.
7. Is unused category capacity freely transferable?
Only if the operative terms support it; do not infer that from arithmetic.
8. Does payment headroom guarantee approval?
No. Other conditions and actual legal scope still apply.
9. Can a pending relief request release an account?
No. Distinguish a request from operative relief.
10. Does a bank’s internal flag define the order?
No. It should implement, rather than replace, the legal directions.
11. Is section 222 the same restriction?
No. Its securities-specific route is separate from this asset-freezing analysis.
12. Must overlapping balances be added together?
No. Reconcile unique funds and underlying sub-ledgers.
13. Is an asset outside one order automatically unrestricted?
No. Other law, orders or contractual restrictions may apply.
14. Can all three-year periods be treated as a fixed 1,095 days?
No. Apply the actual calendar wording and dates.
15. Does this article calculate penalties?
No. It does not infer liability or penalty from its control figures.
16. What should the final report state?
Covered assets, permitted purposes, period, movements, operative variations and unresolved issues.
