Does a CA or Consultancy Office in Delhi Need Shops and Establishments Registration?

A chartered accountant or consultant should not assume that a Delhi office falls outside the Shops and Establishments Act merely because the work is professional. Delhi's definition of commercial establishment expressly includes premises where a profession is carried on and refers to auditors' establishments. The coverage assessment must nevertheless consider the precise activity, premises and any applicable exemption or binding interpretation.

A 2026 review must consider the new applicability amendment and its separate commencement requirement before deciding whether a particular office is covered. Where the office is within the operative Act, registration is the practical starting position unless a specific, supportable reason establishes otherwise. The exemption entry associated with chartered accountants and income-tax practitioners concerns specified provisions; it should not be expanded into an exemption from registration. An advocate's case, a judgment about another state's differently worded law or a municipal mixed-use permission does not automatically decide the position of a Delhi accounting practice.

Check the 2026 applicability amendment first

Delhi Act 03 of 2026 received Presidential assent on 23 February 2026 and was published through the notification dated 11 March 2026. It introduces a provision making the Act applicable to shops and establishments employing twenty or more employees. However, section 1(2) expressly requires the government to appoint its commencement date through a separate Gazette notification.

Assent and publication of the amending Act therefore do not, by themselves, establish that a six-person office became exempt on 11 March. The commencement instrument was not located in the official materials checked for this guide. Before relying on the twenty-employee provision, establish its operative date and current departmental treatment; do not describe the amendment as merely a Bill, or assume it was automatically effective from its publication date.

This distinction affects the examples below. First determine the law governing the relevant period, then assess the activity and employee count. If the amendment has been brought into force for that period, apply its threshold. If it has not, assess the earlier coverage framework. A pending applicability clarification should not be converted into an unsupported certificate of exemption.

The separate Delhi Jan Vishwas Act of 2026 also changes Shops Act penalty and adjudication provisions. Do not continue quoting the old nominal fines as though they remain the current consequence. Decriminalisation of specified defaults does not itself remove registration or record duties where they apply.

Separate the establishment from the professional

A professional membership identifies the practitioner and the work they are entitled to perform. Shops registration identifies an establishment under a different statutory scheme. An ICAI firm registration, certificate of practice or company incorporation certificate therefore answers a different question.

Record what the office actually does. A sole practitioner delivering personal audit or advisory work, a partnership with audit staff, an LLP offering accounting services and a company selling outsourced bookkeeping may have different constitutions. All still require a Delhi coverage review. The word consultancy on the signboard is neither an exemption nor conclusive proof of a particular establishment category.

Prepare an activity note identifying services, client arrangements, staffing, operational address and who controls the premises. Include any substantial additional business, such as training courses or sale of software. A conclusion based only on the original professional activity may become incomplete when the business expands.

Document What it establishes What it does not establish by itself
Professional-body registration Professional identity and permissions within that regime Complete Shops Act exemption
Incorporation or LLP certificate Legal constitution and identity Correct labour registration for operating premises
Lease or coworking agreement Occupancy rights according to its terms Final statutory classification
Shops registration certificate Issued establishment record Permission for every municipal or professional activity

Read exemptions section by section

An exemption can exclude an establishment from the entire Act, or only from named provisions. That distinction matters more than the appearance of the profession's name in a schedule. The Delhi exemption listing includes chartered accountants and income-tax practitioners in an entry concerning sections 15 and 16. Those subjects are different from the registration obligation under section 5.

Consequently, finding a CA entry should lead to reading the scope and conditions, not stopping the analysis. Preserve the entry relied upon and identify which duty it affects. Do not describe a limited exemption as a government certificate of complete non-applicability.

Court decisions also need careful matching. A decision interpreting the Kerala or Karnataka definition is not automatically a binding construction of Delhi's different language. A decision concerning advocates, property tax, rent control or municipal land use may address a different statutory test. Where a practice proposes to rely on a professional-office exclusion, obtain a reasoned assessment identifying the Delhi provision, the actual facts and the binding authority supporting that exact conclusion.

This does not require every small practitioner to write a legal essay. It requires the adviser to distinguish a real exemption from an internet statement that all learned professions are exempt. If the conclusion remains disputed, present the concrete facts to the Labour Department and retain its response.

The office and workforce facts matter

List everyone working about the business: employees, apprentices, part-time assistants and persons engaged otherwise than directly. The Delhi employee definition is wider than permanent monthly payroll. It includes specified indirect and apprentice arrangements. Family members and persons in management or confidential capacity have separate fields or treatment; do not hide them by entering a misleading total.

An office without employees requires the period-specific applicability analysis described above. Under the earlier coverage framework, zero staff was not by itself a universal exemption; the 2026 amendment introduces a twenty-employee test subject to its appointed commencement. Do not substitute another state's threshold or Maharashtra's smaller-establishment intimation system for that Delhi analysis.

A home office should be assessed on how it operates. Record whether the professional regularly conducts the practice there, maintains files and equipment, employs assistants or meets clients. A residential address does not itself prove that no establishment exists. Conversely, occasional laptop work at home should not be described as a staffed branch without examining the facts.

Shops registration also does not authorise residential land use, override a lease or supply consent from the owner. Examine those permissions separately. A person should not declare legal possession of premises solely because an address appears on a utility bill belonging to someone else.

Choose the right registration channel

Delhi's departmental registration portal provides online registration, establishment search and lists of registered establishments. The official portal notice directs first-time registration for new companies incorporated in the NCT of Delhi through the AGILE-PRO component of the MCA SPICe+ process.

That instruction is relevant to eligible new companies. It is not a direction that a sole proprietor or every LLP must submit a company-incorporation form. Nor does it establish that every existing consultancy company's incorporation automatically generated a correct Shops certificate.

For a new company, inspect the actual incorporation submission and resulting outputs. Find the Shops registration number and certificate rather than relying on the statement that all registrations were included. Compare the employer name, premises, commencement particulars and business description. If no certificate can be located, use the official search and raise a query with the incorporation reference and departmental record details.

For an individual practice, partnership or other business outside that first-company route, use the applicable Labour Department service. Before submitting a fresh application, search for an existing record under the firm name, variants and previous addresses. A former accountant or incorporation adviser may already have completed the process.

Prepare accurate particulars

The statutory registration framework asks for the employer and manager where applicable, establishment address, name, category, employees and prescribed additional particulars. The Act provides a ninety-day initial filing period for a new establishment from commencement of work in an applicable area. Do not confuse it with the thirty-day notice period for later changes or with a deadline borrowed from another state.

The department describes online Shops registration as free of government charges and processed on a real-time basis without physical inspection for that registration service. A professional adviser may charge for their work, but that is different from a government registration fee. Ask for a clear distinction on any invoice.

Real-time processing does not make inaccurate declarations acceptable. The online form includes a declaration that the establishment functions from premises in the applicant's legal possession. Check identity, authority and occupancy records before confirming it. Retain the submitted information, any acknowledgement and the issued certificate.

Use the genuine commencement date supported by the office's history. Incorporation, professional-body approval, signing a lease and actually starting work can occur on different dates. Where registration is late, disclose the real history and obtain the correct handling rather than inventing a recent opening date.

Correct records and avoid duplicates

A company may already have a certificate from incorporation while the practitioner also obtains one through the departmental portal. Do not choose whichever document contains the preferred address and ignore the other. Identify both numbers, explain the duplicate history and request official correction or record consolidation as directed.

The Act requires notification of changes in registration particulars within thirty days of the change. Use the applicable notice route, traditionally associated with Form D under the Rules, and retain the amended or replacement certificate. An address change in GST or MCA records does not automatically update the Labour Department's record.

A name change without a new legal person differs from transferring operations from a proprietor to an LLP or company. Prepare continuity and employer documents. Do not continue displaying a former proprietor's certificate as though it necessarily registers the successor entity.

Permanent closure has its own notification framework. A practice moving premises should not casually declare permanent cessation if the business continues and the appropriate action is an address or employer-related change. Coordinate the factual dates and obtain the correct record treatment.

Practical examples

A CA partnership opens an office with six accounting assistants in South Delhi. It should establish whether the twenty-employee amendment has commenced for its relevant period. If the earlier framework governs, assess the professional and auditor-establishment wording; if the amended threshold governs, apply that test. The limited sections 15 and 16 exemption does not itself answer either question.

A bookkeeping company incorporates with a Delhi registered office and completes AGILE-PRO particulars. Its compliance review should locate the resulting Shops certificate and compare the actual workplace. Incorporation paperwork alone is insufficient if the issued certificate cannot be found or records the wrong operational facts.

A sole consultant works from a residential study without staff. The adviser should document activity, possession and the operative applicability provision, including the commencement question. Any conclusion that registration is unnecessary should identify its period-specific legal basis and facts, while keeping residential land-use permissions separate.

A completion checklist for practitioners

Establish the applicable legislative version and any appointed commencement date, then identify the legal employer, actual services, operating premises, workforce and any profession-specific issues. Read every claimed exemption for the exact provisions and conditions. Check whether a binding interpretation truly addresses Delhi and the same activity. Select the MCA-integrated or departmental route according to the business's circumstances.

Search for earlier records, reconcile the commencement date and verify the legal-possession declaration. Keep the application and issued document together. Check the certificate's category, name, address and employee information, then correct errors through the proper route. Add a change-review prompt when the practice hires staff, relocates or changes constitution.

assureOffice readers can use this as a professional-office intake checklist alongside their accounting practice work. Frequently asked questions

1. Does calling the business a professional practice exclude it?

No automatic exclusion follows from that description. Delhi's commercial-establishment wording includes professional activity and auditors' establishments. Examine the actual activity and any precise exemption or binding Delhi interpretation before deciding that a filing is unnecessary.

2. Is a CA partnership different from an accounting-services company?

Their legal identities and professional permissions differ, so the application details and legal analysis may differ. Both still require review under Delhi's establishment definitions. A corporate structure is not a substitute for registration, and a partnership label is not a blanket exemption.

3. Does having no employees remove every filing requirement?

First establish the operative law for the period. The 2026 amendment introduces a twenty-employee threshold but requires separately appointed commencement. Under the earlier framework, zero staff was not an automatic exemption. Keep the relevant legal instrument and actual employee facts with the conclusion.

4. Does ICAI firm registration replace Shops registration?

No automatic substitution follows. ICAI records concern professional regulation; Shops registration concerns the establishment under labour law. Keep both assessments distinct and rely on a specific legal provision if claiming any exemption.

5. What does the CA exemption actually cover?

The published exemption entry associated with chartered accountants and income-tax practitioners concerns sections 15 and 16. It should not be treated as a section 5 registration exemption. Read its exact scope and conditions before applying it to a particular practice.

6. Can I rely on a Karnataka CA judgment?

A judgment about another state's differently worded Act does not automatically decide Delhi coverage. Compare the provisions and facts and establish whether a binding Delhi or Supreme Court ruling governs the exact issue. A generic citation is not a complete applicability assessment.

7. Does an advocate-office decision cover consultants too?

Not necessarily. The profession, nature of activity and statute interpreted may differ. An adviser should identify the precise holding and explain its relevance to the consultancy's actual operations rather than assume all professional offices receive identical treatment.

8. Which route should a newly incorporated Delhi company use?

The departmental portal directs first registration for new companies incorporated in Delhi through the MCA AGILE-PRO/SPICe+ route. Review the incorporation outputs and find the actual Shops certificate. Do not create a second departmental record before checking whether registration was already generated.

9. Does every LLP use the new-company MCA route?

Do not generalise a notice directed to new companies. Determine the applicable service for the LLP's circumstances through the official route. Its LLP incorporation records support identity but do not themselves prove that Shops registration has been issued.

10. How can I check whether incorporation generated registration?

Inspect the submitted integrated form, registration outputs and official establishment search. Match the company name and address. If the certificate is missing, raise a query with the incorporation and application references before submitting another initial application.

11. Is Delhi registration free?

The Labour Department describes its online Shops registration service as free of government charges. A consultant's preparation fee is separate. Request an itemised explanation if someone describes their professional charge as a mandatory government registration fee.

12. Does real-time registration mean no verification is needed?

No. Fast processing does not remove responsibility for truthful particulars. Verify the legal employer, premises possession, commencement date and employee details before submission, then compare the issued certificate with the application.

13. What is the initial statutory deadline?

Section 5 states ninety days for a new establishment from commencement of work in the applicable area. The later change-notification duty has a different thirty-day period. If the office is already late, disclose the true date rather than substituting today's date.

14. Can a home address be used?

Assess whether it is genuinely the operating establishment and whether the applicant has the required legal possession. Record staff, equipment, files and client use. Shops registration does not itself authorise land use or override a tenancy restriction.

15. Does the coworking provider's certificate cover my practice?

Do not assume it does. The provider and professional practice can be different employers operating different establishments. Examine the occupancy agreement, actual work and state requirements and prepare the practice's own coverage conclusion.

16. Do indirect assistants need to be considered?

Yes. The employee definition is not confined to permanent employees paid directly each month. Review agency, part-time and apprentice arrangements and report the requested categories truthfully. An invoice description alone does not settle the statutory treatment.

17. What if two certificates already exist?

Preserve both and explain how they arose. Check whether they concern the same employer and premises or distinct establishments. Seek official correction or duplicate-record treatment; do not silently discard one or invent different commencement dates to justify them.

18. Must an address change be reported separately?

The Act requires changes in registered particulars to be notified within thirty days. Use the applicable notice route and retain the amended or replacement certificate. Changing the address with GST, MCA or the professional body does not prove that the Labour Department record changed.

19. Can the old proprietor's certificate continue after incorporation?

First resolve the change in legal employer. Continuity of brand and clients does not automatically transfer a statutory record. Gather incorporation, transfer and premises documents and obtain the appropriate amendment or registration direction.

20. Can assureOffice decide the exemption automatically?

No such automated legal decision or filing function is established here. assureOffice and assureoffice.in are relevant practice-workflow context. The business and its adviser should retain the actual applicability reasoning and the official evidence supporting registration or any claimed exemption.
