Agree the scope of the package before close

A group reporting package (GRP) is the subsidiary’s submission to the parent for group reporting and consolidation. Agree the group accounting framework, presentation currency, period, ledger cut-off, schedules, review responsibilities and timetable. A day +3 to day +5 close is an internal target some groups choose, not a statutory deadline. Keep the reporting package separate from the Indian company’s statutory financial statements, tax computation and audit evidence. Determine the applicable local accounting framework and statutory timetable for the entity rather than assuming one deadline or set of standards for every subsidiary.

Resolve intercompany differences before posting group eliminations

If one entity reports a US$1.25 million receivable and the other a US$1.18 million payable on a comparable basis, reconcile the US$70,000 difference. Inspect the underlying service or delivery date, transfer of control where relevant, invoice status, tax treatment, currency rates and cash settlement. A seller’s invoice is evidence but does not automatically override the buyer’s recognition policy. Do not force a match through a clearing plug or require every agreement to be in US dollars. Align the agreed transaction terms and functional-currency accounting, document adjustments with their counterparties, and distinguish a legitimate currency gain or loss from a mismatch.

Ind AS 110 paragraph B86 requires full elimination of intragroup assets, liabilities, equity, income, expenses and cash flows relating to transactions between group entities, with related consolidation adjustments as applicable. Reconcile intragroup profit in assets and related tax effects as well. First identify the consolidation perimeter; an equity-accounted investee is not automatically subject to the same line-by-line elimination as a subsidiary.

If the parent asks for noon US Eastern time, it is 10:30 p.m. IST on standard time and 9:30 p.m. IST on daylight time. Use an agreed calendar, time zone and timestamp. Record any incomplete data or approved adjustment rather than certifying a schedule as closed when it is not.

Seven worked illustrations

The transactions, rates and audit outcomes are illustrative. Apply the actual policies and facts to a live submission.

1. Intercompany cutoff and a withholding posting error

An Indian subsidiary reports a receivable of ₹16.60 crore, equivalent to US$2 million at ₹83 per US dollar. The parent shows a payable of US$1.85 million, leaving US$150,000, or ₹1.245 crore, to reconcile. An invoice dated 30 October reaches accounts payable on 2 November, two days after a 31 October close. Assume US$120,000 of services were received and consumed before the close, with no asset recognition or other adjustment. Debit the appropriate service expense and credit the intercompany payable for US$120,000.

Also assume the parent incorrectly posted but did not remit a US$30,000 withholding amount, computed as 15% of a US$200,000 recharge. After separate tax review confirms that entry should be reversed, debit the incorrectly credited withholding payable and credit intercompany payable for US$30,000. There is no assumed treaty or safe-harbour exemption. The parent’s payable is now US$2 million and matches the subsidiary before consolidation elimination.

2. Translate a foreign operation into euros

Assume an INR functional currency and a euro presentation currency, neither hyperinflationary. Closing and opening net assets are ₹85 crore and ₹82 crore. The movement consists of ₹3.60 crore profit and a ₹0.60 crore distribution, with no other changes. For the example, the distribution rate equals the closing rate and the monthly average of ₹89.50 per euro reasonably approximates the transaction-date rates for income and expenses. If rates fluctuate significantly, use the transaction dates rather than relying on the average.

At ₹88.40 per euro, opening net assets are €9,276,018.10. Closing net assets at ₹90.20 are €9,423,503.33. Profit translates to €402,234.64 and the distribution to €66,518.85. Using unrounded values, the translation difference is closing less opening less profit plus the distribution, or negative €188,230.56, recognised in OCI on the stated assumptions. Opening net assets retranslated at the closing rate account for about negative €185,109.01; the difference between profit at the closing rate and at the applicable income rates is about negative €3,121.55. The closing rate applies to assets and liabilities of the foreign operation, whether monetary or non-monetary. That rule is separate from remeasuring an individual foreign-currency transaction in the local ledger.

3. Reconcile a lessee’s Ind AS 116 and Topic 842 numbers

Assume a five-year development-centre lease with 20 quarter-end payments of ₹60 lakh, ₹2.40 crore a year, and a 2% quarterly discount rate. There are no incentives, prepayments, initial direct costs, impairments or renewal options in the calculation, and both frameworks use the same liability inputs. The initial present value and right-of-use (ROU) asset are about ₹9,81,08,600. With straight-line depreciation over five years, year-one Ind AS depreciation is about ₹1,96,21,720. Four quarters of interest on the rolling liability total ₹73,57,656. The expense is ₹2,69,79,376 and the year-end liability is ₹8,14,66,256.

Assume the lease is operating under Topic 842 and the single lease cost is straight-line at ₹2,40,00,000. Year-end Ind AS and group ROU amounts are approximately ₹7,84,86,880 and ₹8,14,66,256 respectively. In the illustrative group bridge, debit the single lease expense ₹2,40,00,000 and the ROU asset ₹29,79,376, and credit the local depreciation and interest expenses for ₹1,96,21,720 and ₹73,57,656. Pre-tax profit increases ₹29,79,376. Do not add a separate balancing profit account.

Assess deferred tax from carrying amounts and tax bases. If the sole incremental temporary difference is the higher ROU carrying amount, the tax bases are unchanged and the applicable rate is assumed to be 25.168%, the illustrative incremental deferred tax liability is ₹7,49,849 and the after-tax increase is ₹22,29,527. The assumed rate does not establish the tax treatment of any company or payment.

4. Reverse a qualifying local development asset for group reporting

Assume ₹4.80 crore of semiconductor development cost meets all Ind AS 38 paragraph 57 conditions, including technical feasibility, intent, ability to use or sell, probable future benefits, adequate resources and reliable measurement. Assume this specific cost is research and development that must be expensed under Topic 730 with no relevant software or other exception. Debit group R&D expense and credit the development asset for ₹4.80 crore. Verify scope before applying this adjustment to any software costs.

If the tax deduction has already been used, the tax base is nil. On those assumptions, the group carrying amount after reversal is nil and there is no resulting deductible temporary difference or new deferred tax asset. If the local package carried a liability on the ₹4.80 crore taxable temporary difference at the assumed 25.168% rate, the bridge would remove ₹1,20,80,640 of that liability, subject to the applicable tax and accounting analysis. A future tax deduction, if available, would require a different calculation.

5. Recognise a receipt before its invoice

On 31 October, an entity receives and obtains control of ₹2.85 crore of raw materials that remain on hand and have not been invoiced. Assuming that amount is the appropriate inventory cost, debit inventory and credit goods received not invoiced (GRNI) for ₹2.85 crore. If materials were consumed, classify the debit based on what happened to them under the applicable policy. Match the later invoice to the receipt and clear or reclassify the accrual when appropriate, reviewing price variances and any still-outstanding liability. Receipt records and ownership evidence matter more than a gate timestamp by itself.

6. Reconcile gross PPE and the disposal loss

Opening gross PPE is ₹65 crore. Eight truck additions total ₹2.40 crore; two scrapped trailers have ₹35 lakh original cost, ₹28 lakh accumulated depreciation and ₹4 lakh net disposal proceeds. With no other gross movements, closing gross PPE is ₹67.05 crore. The trailers’ carrying amount is ₹7 lakh and the disposal loss is ₹3 lakh. If closing net PPE is ₹42.85 crore on the same scope, the accumulated depreciation and impairment total must be ₹24.20 crore; reconcile the roll-forward to the ledger rather than inferring that the figure is audited.

7. Convert an income adjustment into a tax exposure

A draft transfer pricing adjustment of ₹6 crore is an increase in taxable income, not a tax reserve. At an assumed 25.168% rate and with no interest or penalty in this example, the tax effect is ₹1,51,00,800. For Ind AS reporting, apply Ind AS 12 Appendix C: assess whether acceptance of the uncertain tax treatment is probable and, if not, measure the effect using the most likely amount or expected value, whichever better predicts the outcome. Do not automatically classify an income-tax uncertainty as an Ind AS 37 contingent liability.

For the US group, assume the tax position independently meets Topic 740’s recognition test on its technical merits. Assume supportable settlement outcomes: 40% probability of retaining the full tax benefit, 25% of retaining 70% of it, and 35% of retaining none. The largest benefit with cumulative likelihood greater than 50% is ₹1,05,70,560, at 65% cumulative probability. The unrecognised amount is ₹45,30,240, approximately US$54,581 at ₹83 per US dollar. The probabilities are assumptions, not observed settlement rates. Document the recognition basis, measurement and any interest, penalties or disclosure separately.

Keep the audit and reporting roles distinct

Group audit instructions define the requested work, deliverables and communications. Identify the framework that actually applies to the audit engagement. ISA 600 (Revised) applies to audits of group financial statements for periods beginning on or after 15 December 2023, where the ISAs govern; it is not automatically the Indian standard or a PCAOB standard. For an Indian statutory audit, consult the applicable Indian SA and relevant NFRA guidance. Obtain the instructions and agree delivery, access and communication procedures with the group and component auditors. Management’s package does not replace audit procedures or determine their sufficiency.

Frequently asked questions

Does the group package replace local statutory accounts?

No. Prepare the local statements under the applicable Indian requirements and reconcile them to the separate group accounting submission.

Can all exchange differences on an intercompany loan be moved to OCI?

No. Under Ind AS 21 or IAS 21, a monetary item can form part of the net investment when settlement is neither planned nor likely in the foreseeable future. The qualifying exchange difference is recognised in profit or loss in the applicable separate or individual financial statements and initially in OCI in the financial statements that include both entities, subject to the standard. Check the separate requirements under any other framework.

Can a difference be small for the group and significant locally?

Yes. At ₹83 per US dollar, US$100,000 is ₹83 lakh. It is 0.001% of US$10 billion of group revenue but about 15.09% of ₹5.50 crore local profit. These are comparisons, not thresholds. Consider the nature and context of the issue and distinguish management review thresholds from the auditor’s materiality instructions. Where ISA 600 (Revised) applies, the group auditor sets component performance materiality as required to address aggregation risk.

What if final bank evidence is not available by close?

Use available reliable bank evidence, reconcile outstanding items and record the limitation. Follow up with the final statement and post or disclose any required correction under the reporting policy.

Can a consolidation-only entry change the Indian tax computation?

It does not by itself amend the local ledger or decide Indian taxable income. Analyse the underlying transaction under the applicable tax law for the period and separately reconcile any current or deferred tax effects needed in the group statements.

What can a reporting system automate?

It can help map accounts, match transactions and reconcile schedules. Use controls for source completeness, rate approval, journal sign-off, exception resolution and the final package version.
