Cash exercise proceeds may be only part of the input

For share options and other arrangements within Ind AS 102, Ind AS 33 paragraph 47A requires the issue or exercise price used in the options calculation to include the Ind AS 102-measured fair value of goods or services to be supplied in the future under the arrangement. Using only cash exercise receipts can therefore overstate incremental shares. This guide, checked on 28 October 2026, isolates that measurement bridge for an eligible company's fixed-term employee options. It assumes Ind AS 33 applies and does not substitute AS 20 or treat every employee award as the same instrument. ICAI Ind AS 33, 2025–26 compilation: paragraphs 41–48, particularly 47A.

Start with the paragraph 45–47 options mechanism

For dilutive options, assume exercise and use the assumed proceeds to calculate how many ordinary shares could be issued at the average market price for the period. The difference between options exercised and that assumed full-price share number is the incremental-share component. In the simple models here, this component changes the denominator without a corresponding option-exercise adjustment to the earnings numerator. The calculation is hypothetical for EPS; it is not an instruction to book an actual buyback or recognise proceeds before exercise. Do not use total options as incremental shares without this calculation. ICAI Ind AS 33, 2025–26 compilation: paragraphs 41–48, particularly 47A.

Bridge the future-service amount to Ind AS 102 evidence

Prepare a tranche-wise bridge from contractual cash exercise price to the paragraph 47A future goods-or-services component. The examples stipulate that the future-service fair value has been correctly measured under Ind AS 102. They do not assume that every unrecognised compensation balance or management's budgeted salary automatically equals that amount. Document the underlying award terms, valuation inputs, service period and reconciliation to the share-based-payment working. Prevent a per-option amount from being added as though it were the whole-tranche amount, or the whole-tranche amount from being multiplied a second time. ICAI Ind AS 33, 2025–26 compilation: paragraphs 41–48, particularly 47A.

Use the period's average market price and apply dilution controls

Paragraph 47 refers to average market price during the period. A closing price can produce a different and unsupported incremental-share result. After the paragraph 47A inclusion, determine whether the proceeds cover all assumed shares at that average price. Do not introduce negative incremental shares where the arrangement is not dilutive under the relevant test. Apply the continuing-operations control and sequencing requirements in paragraphs 41–44 when assessing the complete diluted-EPS calculation, especially with losses or several potential ordinary-share instruments. These illustrations assume positive control earnings and no competing instruments unless expressly stated. ICAI Ind AS 33, 2025–26 compilation: paragraphs 41–48, particularly 47A.

Separate fixed terms, time weighting and performance conditions

Paragraph 48 treats employee options with fixed or determinable terms and non-vested ordinary shares as options even where vesting remains contingent, and treats them as outstanding from grant date. That does not remove the need to apply the appropriate outstanding-period weighting. The same paragraph treats performance-based employee options as contingently issuable shares where conditions go beyond passage of time. Route those awards through the relevant contingently-issuable-share analysis instead of automatically inserting the simple fixed-term formula below. Maintain separate populations for grants, exercises, forfeitures, modifications and performance-linked arrangements. ICAI Ind AS 33, 2025–26 compilation: paragraphs 41–48, particularly 47A.

Preserve full precision through the EPS bridge

Reconcile basic weighted-average shares, each correctly measured and weighted incremental component, total diluted shares and the applicable earnings numerator. Calculate EPS using full precision before applying the company's presentation policy. An unchanged rounded display can conceal an incorrect denominator, so retain the share-count reconciliation even where basic and diluted EPS look alike. Conversely, a small display difference does not establish that every award has been assessed properly. The examples use whole-year outstanding options and fixed verified inputs; real part-period awards require the corresponding time and measurement analysis. Six worked illustrations

All facts and amounts below are fictional. Assumptions describe the model, not additional statutory rules.

Illustrative example 1: Cash-only baseline for a fully serviced arrangement

Assume 10,000 fixed-term options, cash exercise price ₹60, average market price ₹100 and no remaining future-service amount. Cash proceeds are ₹6,00,000, supporting 6,000 shares at ₹100. Incremental shares are 10,000 − 6,000 = 4,000, subject to the dilution test.

Illustrative example 2: Include the verified future-service component

Keep 10,000 options, ₹60 cash exercise price and ₹100 average price, but stipulate paragraph 47A future-service fair value of ₹2,00,000 for the tranche. Assumed proceeds become ₹8,00,000, supporting 8,000 shares. Incremental shares are 2,000. Omitting that component would overstate incremental shares by 2,000 compared with the cash-only result.

Illustrative example 3: Proceeds cover the full assumed share number

With 10,000 options, ₹6,00,000 cash proceeds and verified future-service fair value of ₹4,00,000, total proceeds are ₹10,00,000. At a ₹100 average price they cover all 10,000 shares. This model produces zero incremental shares, not a negative share adjustment.

Illustrative example 4: Combine two separately supported tranches

At an average price of ₹100, tranche A has 10,000 options, ₹6,00,000 cash and ₹2,00,000 verified future-service value: incremental shares are 2,000. Tranche B has 5,000 options, ₹2,50,000 cash and ₹50,000 future-service value: ₹3,00,000 supports 3,000 shares, leaving 2,000 incremental shares. Total whole-year incremental shares are 4,000.

Illustrative example 5: Carry the corrected denominator into EPS

Assume applicable earnings of ₹30,06,000, basic weighted-average shares of 10,00,000 and correctly determined whole-year incremental shares of 2,000. Basic EPS is ₹3.006; diluted shares are 10,02,000 and diluted EPS is exactly ₹3.000. Rounded to two decimal places, the illustrative display is ₹3.01 basic and ₹3.00 diluted. No numerator change is assumed in this simple options model.

Illustrative example 6: A closing price can create a false increment

Assume 10,000 options, ₹6,00,000 cash and ₹2,00,000 verified future-service value, but average market price is ₹80 and closing price ₹100. Correct proceeds of ₹8,00,000 cover 10,000 shares at the average price, giving zero incremental shares. Substituting the closing price would incorrectly produce 2,000 incremental shares in this model.

Sixteen practitioner FAQs

1. Why can cash exercise price be incomplete?

Paragraph 47A includes the Ind AS 102-measured fair value of future goods or services under the covered arrangement.

2. Does paragraph 47A apply to every cash-settled employee benefit?

It addresses the stated share options and share-based arrangements; first classify the actual instrument and its applicable EPS treatment.

3. Is management's salary budget automatically the future-service input?

No. Support the amount through the required Ind AS 102 measurement.

4. Can the unrecognised compensation ledger be copied without reconciliation?

No. Establish that the selected amount corresponds to paragraph 47A's required component.

5. Are all options automatically incremental shares?

No. Apply the assumed-proceeds and average-price calculation before the complete dilution tests.

6. Which market price do paragraphs 45–47 use?

The relevant average market price for the period, rather than automatically the closing price.

7. Does the hypothetical calculation require an actual share repurchase?

No. It is an EPS mechanism, not an instruction to recognise a buyback transaction.

8. How does including future-service value affect the simple denominator model?

Higher assumed proceeds support more full-price equivalent shares and can reduce the incremental component.

9. Should proceeds exceeding the full-share equivalent produce negative incremental shares?

Do not introduce a negative increment; assess the arrangement's dilution under the standard.

10. Are fixed-term unvested employee options always excluded until vesting?

Paragraph 48 treats the specified fixed or determinable arrangements as options even though vesting may be contingent.

11. From what event does paragraph 48 treat those options as outstanding?

Grant date, while the applicable period weighting still requires attention.

12. Can performance-based awards always use these six simple models?

No. Paragraph 48 routes performance-based options with additional conditions to contingently-issuable-share treatment.

13. Does a simple option exercise assumption always adjust the numerator?

The models have no such numerator adjustment; assess the actual arrangement and other instruments separately.

14. Can positive total profit replace the continuing-operations dilution control?

No. Apply paragraphs 41–44's specified control in the complete calculation.

15. Should EPS be rounded before dividing by diluted shares?

No. Keep full precision through the calculation and apply the presentation policy afterward.

16. Why retain a share-count bridge when rounded EPS is unchanged?

Rounding can hide a material error in the measurement or weighted denominator.

Conclusion

Reconcile option exercise cash and paragraph 47A future-service fair value before calculating incremental shares and diluted EPS under Ind AS 33.
