Mumbai Section 394 trade and storage licence: what changes when a shop adds stock or machinery?

A Mumbai business should review its Section 394 position before introducing a new commodity, increasing stock beyond an applicable limit, or adding a process. The licence is tied to the goods, activity, premises and conditions it covers. An old certificate for a shop is not an unlimited permission to store every material or operate machinery behind the counter.

Section 394 of the Mumbai Municipal Corporation Act, 1888 works with Schedule M and the Commissioner's regulatory powers over dangerous or nuisance-producing articles and operations. The practical assessment therefore begins with what is physically kept or done at the premises. The business's marketing name, turnover and GST description cannot replace that assessment.

BMC provides separate services for a trade licence, supplementary licence, amalgamation, constitution changes, renewal, restoration and cancellation. Choosing the right event matters. A change in partner is different from adding a stored chemical, and neither should be concealed inside an unchanged renewal application.

Read Schedule M against an actual inventory

Prepare a goods-and-process inventory. For every significant commodity, record its ordinary and technical name, maximum quantity kept at one time, form of packaging, storage location and intended use. Obtain supplier specifications or safety data where the material's identity or hazard is unclear.

Schedule M is not one uniform list with one uniform threshold. Section 394 distinguishes different parts of the schedule: some listed articles require licensing as specified, some are subject to stated quantity limits, other articles are addressed by sale or non-domestic use, and listed trades or associated operations have their own treatment. Do not apply a quantity condition from one entry to a different commodity.

Maximum stock is particularly important. An average month-end balance can conceal a much higher quantity immediately after delivery. If the applicable condition concerns what is kept at any one time, procurement and warehouse controls should monitor the peak, not merely the annual purchase total.

Also list processes: cutting, grinding, mixing, heating, packing, coating, cleaning, repair or manufacture. A material may be relevant both because it is stored and because the way it is used creates a separate risk. Where the operation is not clearly described by the schedule or licence, provide the ward licensing office with a factual note and request classification.

Do not invent a general “small shop exemption”. Quantity exemptions and other limits must be checked entry by entry, including any applicable notification. A business below one material's threshold may still carry on a licensable process or keep another regulated article.

Understand why adding machinery changes the enquiry

A shop selling garments is operationally different from a unit cutting and manufacturing garments. A retailer adding a powered workshop should reassess the process, workforce, noise, ventilation, electrical load, waste and fire arrangements before installation.

Section 394 licensing should be separated from municipal factory or workplace permission under Section 390 and any applicable exemptions or notifications. The BMC service structure provides a distinct Building and Factory route. Section 390 also contains a specific exception for a factory, workshop or workplace in an area notified by MIDC within the corporation jurisdiction. Establish the actual notified-area status before relying on it; an address described informally as an industrial estate is insufficient. Do not assume that every electrical appliance creates a factory, or that a Section 394 certificate settles every powered-workplace question.

Labour and occupational-safety registration is another distinct enquiry. Its applicability depends on the operative legislation and facts. Pollution consent can also become relevant when a business introduces emissions, effluent or a changed industrial process. A supplier's assurance that a machine is “small” does not decide these legal questions.

A practical approval sequence is to establish lawful premises use, describe the proposed machinery and process, identify the municipal and specialist permissions required before installation or operation, obtain the necessary decisions, and then ensure the issued documents describe the actual arrangement. Avoid installing first and asking an adviser to retrospectively label the expansion as ordinary retail.

Distinguish the main licensing events

Change Main question to resolve Evidence to prepare
New commodity Is it covered by the existing licence and applicable schedule entry? Commodity list, specification and maximum quantity
Increased stock Does an applicable quantity limit or licence condition change? Peak-stock calculation and storage layout
New process or machinery Does the licensed operation change and are other permissions triggered? Process note, machine list, power and layout details
Additional space Does the existing premises description cover the enlarged unit? Revised lease, measurements and plan
Different proprietor, partners or directors Which constitution or transfer service applies? Transaction and constitution documents
Ceased business How should the licence and outstanding demands be closed? Current certificate, cessation request and payment reconciliation

BMC's supplementary trade-licence checklist specifically asks for ancillary commodities, existing permissions, premises evidence and fire-safety evidence. This makes it a relevant route when the business adds a commodity or related operation. It does not establish that every expansion can automatically be approved as supplementary. Obtain the licensing office's determination for the proposed facts.

Amalgamation is separately listed. Where the authority directs original and supplementary licences to be combined, retain both and follow that service's requirements. Do not discard the supplementary certificate before the resulting record clearly incorporates it.

Assemble a premises file that explains lawful occupation

For a rented unit, keep the current leave-and-licence or tenancy agreement, rent evidence and precise property particulars. The applicant's legal name, unit, floor and occupied area should match the application. If stock is stored in a second room or adjoining shop, disclose that space and establish the right to occupy it.

Possession and authenticity of premises are separate issues in BMC's checklist. A rent receipt may show occupation without proving that the space was lawfully constructed or may be used for the proposed trade. Obtain available occupancy or completion documents and approved change-of-user evidence where relevant.

Some legacy checklists describe special historical evidence for older or slum premises. Those descriptions must not be converted into a general permission to operate from any informal structure. Identify the exact premises category and current accepted evidence with the ward office. Do not rely on an old cut-off date as proof of present entitlement.

Check landlord and society restrictions, but remember that private consent cannot override statutory conditions. Storage in a parking area, blocked passage, unauthorised loft or converted terrace can create issues that a renewal fee does not cure. A plan should show the real arrangement, including mezzanine or loft use where present.

Review fire safety for the new stock and layout

The supplementary checklist identifies fire-safety evidence through the applicable Chief Fire Officer route or codified requirements, together with a compliance undertaking. The correct route depends on the actual trade and premises; it is not safe to assume every business needs the same NOC or that every business can use self-declared compliance.

A stock increase can obstruct exits, change stacking heights or increase combustible loading. New machinery can introduce heat, sparks, electrical demand or a need for extraction. Review these changes before accepting a supplier's layout. Keep exits and access to safety equipment clear during the work as well as afterwards.

Ask the landlord for the relevant building fire approval and approved drawings where applicable. Check that the proposed use and layout are consistent with them. A building-level approval does not automatically cover every tenant alteration. Maintenance certificates and required fire-safety records should be obtained through the appropriate competent or licensed agency.

A recommended change file includes before-and-after plans, a machine schedule, material quantities and the assessment of required safety measures. These records make the application more intelligible and support future renewal, even where every item is not a mandatory upload.

Use the current BMC application route carefully

Enter through the official BMC business services and choose the event that matches the change. The portal provides trade renewal, supplementary and constitution-change services, among others. Some older department pages retain historic processing statements or references to earlier Shops legislation. Use the live form and current departmental requirements for the actual application.

For an existing licence, retrieve the correct record using its licence and ward particulars. Compare the operator, premises, activity, commodity and contact details. A wrong mobile number or email can prevent queries and decisions reaching the business. Correct it through the prescribed route rather than allowing a departed consultant to remain the sole contact.

Keep the submitted application and each attachment. Where scrutiny identifies a defect, respond directly and save the re-upload acknowledgement. Read the fee demand after the applicable approval stage and reconcile it with the selected service. Do not quote an old handbook's scrutiny fee or promise an immediate certificate without verifying the current position.

After payment, obtain the issued or amended certificate and read its conditions. Check whether it covers the proposed commodity, quantity, process and area. A payment receipt for renewal of the old licence does not establish approval of a new activity omitted from the application.

Deal with constitution changes on their own facts

BMC's current process distinguishes changes in partners or directors, transfer concerning the owner, and a firm or agency name change. The supporting evidence depends on the event. Keep the relevant partnership, retirement, sale, incorporation or board documents, rather than treating all changes as a name correction.

A proprietor's death can involve legal-heir evidence and consents. A purchaser taking over a running business should establish the licence transfer position before relying on the seller's certificate. A mere change in a company's directors is different from transferring the business to another company.

Coordinate the municipal record with other registrations where the same factual change affects them, but do not assume that updating one automatically updates BMC. The applicant should also ensure that the lease or occupancy arrangement permits the present legal operator to occupy the premises.

Renewal, restoration and closure need different evidence

An ordinary renewal concerns continuation of the licensed activity on the correct existing particulars. Before renewing, ask the operations team what changed since the last application. Check stock, machinery, area, constitution and safety conditions rather than merely paying the generated amount.

Restoration is a separate service for an appropriate lapsed or affected record; it is not an assurance that every cancelled licence can be revived. Obtain the department's determination and comply with outstanding conditions. Do not operate on the assumption that a pending restoration application is equivalent to a valid licence.

For closure, use the cancellation or surrender route and retain the decision. Explain when the activity ceased and how remaining stock, machinery and specialist permissions are being dealt with. Resolve outstanding demands and keep evidence of the last valid period. Vacating the premises, cancelling GST or stopping purchases does not automatically close the municipal licence.

An assureOffice client change checklist can help an adviser identify these events during financial and practice work. It should not be represented as an automated BMC compliance service. At assureoffice.in, related workflows can support client coordination while the municipal application, safety assessment and specialist approvals remain separate responsibilities.

Frequently asked questions

1. Does a warehouse need a licence if customers never visit?

Storage can itself be relevant under Section 394 and Schedule M. Identify the goods, maximum quantity and use, rather than relying on customer access. A non-retail warehouse should receive its own premises and activity assessment.

2. Is a garment shop treated like a garment manufacturing unit?

No automatic equivalence follows. Sale, storage, cutting and powered production are different facts. List the processes and machinery and determine the relevant municipal and other permissions before treating a retail certificate as sufficient.

3. Can I add a new stored commodity to the existing licence?

First check its schedule entry and existing certificate conditions. A supplementary route may be appropriate, but obtain the authority's assessment. Provide the commodity, maximum quantity and storage arrangement instead of assuming the older description covers it.

4. Does every Schedule M article have the same quantity exemption?

No. The statute distinguishes schedule parts and different conditions. Read the relevant entry and any applicable notification. A threshold for one article cannot safely be applied to another, and a process may be regulated independently of stock quantity.

5. Should I report average or maximum stock?

Record both where useful, but assess any at-one-time condition against the maximum quantity that can actually be kept. Delivery peaks matter. Month-end accounting balances alone may not show the highest quantity stored at the premises.

6. Does adding one machine always require a factory licence?

Do not assume a universal answer. Examine the machine, process, power use, workplace and applicable statutory exemptions. Municipal Section 390 permission and labour-related factory or safety requirements must be considered separately from the Section 394 licence.

7. Does Shops registration replace Section 394 licensing?

They address different matters. Assess Section 394 against the actual articles and operations even where Shops registration exists. Keep each applicable registration and its conditions separate instead of describing one certificate as an all-purpose business permission.

8. What is a supplementary licence for?

It is an available BMC service for an appropriate addition to an existing licensed arrangement. The checklist addresses ancillary commodities and supporting evidence. The authority must determine whether the proposed change fits that route or requires another application.

9. Is supplementary approval the same as amalgamation?

No. BMC lists them separately. Amalgamation can combine the appropriate existing records through its own procedure. Preserve original and supplementary licences until the resulting certificate clearly establishes the combined scope.

10. Is a landlord's NOC enough for new storage?

No. Establish the tenancy, lawful premises and permitted use, and address trade and fire requirements. Private consent does not authorise prohibited storage or construction. The landlord should provide the relevant building documents as well as consent.

11. Can stock be placed in an unused exit passage?

Do not treat unused space as automatically available for storage. Exit and fire-access arrangements must remain compliant. Review the approved layout and safety requirements before changing stock locations, even when the total quantity does not increase.

12. Must every applicant obtain an identical fire NOC?

The applicable route depends on the trade, premises and codified requirements. BMC's checklist identifies alternatives rather than one universal document. Obtain the appropriate assessment and retain the compliance evidence supporting the application.

13. Does changing partners require a fresh licensing record?

Use the constitution-change assessment for the actual event. BMC provides a specific process with supporting documents. A partner change, proprietor transfer and new legal entity are different situations; do not treat them all as a minor spelling correction.

14. Can the buyer keep using the seller's certificate?

Do not assume transfer is automatic. Establish the correct municipal transfer or application procedure, effective date and occupancy evidence. Keep the seller's record as history, while obtaining the current operator's valid licensing position.

15. What should I retain after online submission?

Save the submitted particulars, attachments, acknowledgement, scrutiny queries, replies, demand, municipal receipt and issued certificate. Compare the resulting scope with the proposed change. A bank debit or generic renewal receipt does not prove an omitted activity was approved.

16. Is renewal sufficient after taking another room?

Assess the extra premises and activity before renewal. Obtain the revised lease and plan and seek the applicable supplementary, amendment or other route. Do not submit an unchanged area declaration when the operation has expanded.

17. Can I rely on an old published processing timeline?

Treat historical department descriptions with care. Check the current service requirements and any applicable notified timeline. An old expectation does not establish automatic approval of a deficient application or permission to operate pending a decision.

18. What does restoration accomplish?

It is a separate route for an eligible affected licence, subject to the department's decision and conditions. It does not guarantee revival in every case. Obtain the outcome and valid scope before treating the business as licensed.

19. How do I close an unused Section 394 licence?

Apply through the appropriate cancellation or surrender service, reconcile demands and obtain recorded closure evidence. State the cessation event accurately. Stopping activity or vacating the lease does not automatically update the municipal record.

20. What should finance ask before approving a machinery purchase?

Ask what process will change, where the machine will operate, what materials and quantities it uses, and which approvals must precede operation. Connect procurement with premises and safety review early, so the business does not discover a licensing issue after installation.
