One business owner, PAN or accounting system does not automatically mean one Gumasta certificate covers every Madhya Pradesh location. Start with the establishment recorded on the existing certificate and compare it with the proposed branch. A separate customer outlet at a different address needs its own registration assessment; an attached storeroom used by the same shop raises a different question.
A 2026 review must also address Madhya Pradesh’s new Code on Empowering Workspaces, known as the Shram Shakti Sanhita. Its enacted text requires separately appointed commencement. Do not replace the existing Shops procedure merely because the new Act was published, and do not ignore the new framework when planning a branch opening.
Establish the legal version before choosing a service
The 1958 Shops Act was materially updated by the Second Amendment Act, 2025, published on 15 December 2025 and effective from publication. It provides portal-based registration, automatic generation of the certificate and online updates of changed particulars. This is more recent than manuals describing a purely paper application or old annual-renewal arrangements.
The 2026 state Code received assent on 7 August and was published on 10 August 2026. Section 1(3) requires the government to appoint commencement through Gazette notification, potentially on different dates for different provisions. The separate commencement instrument was not located in the materials checked for this guide. An earlier document circulated in April 2026 should not be substituted for the enacted August text.
Before filing, establish which registration provisions apply on the branch’s relevant date and whether a transition direction maps the existing record. If the 1958 framework governs, use its current digital procedure. If the Code’s registration provisions have commenced, apply the designated-system and transition instructions. Do not describe publication alone as proof that every old certificate was cancelled or every branch automatically registered.
The enacted Code provides one-time lifetime registration and a unique establishment number, with recognition of specified other registrations or licences and savings for earlier records. Those provisions still require the actual legal and administrative conditions to be satisfied. A common identifier is not an unrestricted permission to omit a new operating location.
Make a premises map
List every address used by the business, even locations with no regular staff. Record activity, employer, management, employees, customer access, stock and connection with other premises. Add the proposed branch’s opening date and whether the original premises will remain active.
| Location | Facts that matter | Registration question |
|---|---|---|
| Existing head office | Certificate address, activity and employer | Does its current record remain accurate? |
| New customer-facing outlet | Separate occupation, sales and assigned staff | Is it a separately registrable establishment? |
| Storeroom inside the same shop | Physical connection and common operation | Is it already within the declared premises? |
| Godown at another address | Exclusive connection, dispatch work and workforce | How must the connected location be recorded? |
| Standalone service branch | Independent operating address and customer work | What location-specific application is required? |
This exercise prevents a common error: treating an additional branch as an address replacement and thereby removing the head office from the record even though it remains open. It also prevents unnecessary duplicate applications for rooms already forming part of the same premises.
Use full addresses, including floor, unit and local jurisdiction. A single postal building number can contain several independently occupied establishments. Conversely, separate room descriptions do not necessarily mean separate businesses. The legal and operational facts matter more than the number of doors.
Apply the connected-premises definition carefully
The 1958 Act’s shop definition includes places selling goods or rendering services and connected offices, storerooms, godowns, warehouses and workplaces, whether at the same premises or elsewhere. This means storage cannot simply be excluded from the coverage review because customers never enter it.
It does not establish a universal rule that every connected godown at any distance can use an unchanged certificate for the shop. The definition concerns the scope of the establishment; the registration record must still accurately identify relevant premises and jurisdiction. Ask how the connected address is to be declared and whether the authority requires an amendment or separate record.
For example, a retailer leases the rear room of its existing unit for stock storage. Compare the expanded occupation with the premises description and submit any required update. A retailer renting a warehouse across the city should provide a different factual note explaining the link, movement of stock, staff and control.
A godown without dedicated employees still needs classification. Workers may visit to load, count or dispatch stock, and an establishment can exist without a permanent person stationed there all day. Do not declare it unused merely because attendance is recorded at head office.
Where processing, repair or manufacturing occurs, record it separately. A certificate for retail activity should not be treated as resolving factory or other specialist coverage. Changes in equipment and activity can require a fresh classification review even before staff numbers change.
Separate the employer from the branch manager
Identify the legal person owning or controlling the establishment. The branch manager can be recorded in the appropriate management field without replacing the company, firm or proprietor as the actual operating employer.
A head-office accountant, local manager and authorised applicant can be three different people. Establish their roles and authority before filing. A manager’s personal identity document does not prove ownership of the business, and their appointment should not accidentally turn a company branch into a supposed proprietorship.
For a company, keep incorporation and authorisation records with the premises documents. For a partnership, retain the deed and authorised-partner evidence. For a proprietor, make the relationship between the individual and trading name clear. Reconcile the legal name across the lease, application and certificate.
If a franchisee operates the new location as a separate employer, the franchisor’s certificate does not automatically cover it. Brand control, stock arrangements and employment control need to be distinguished. The business using a familiar logo may still be a different legal person.
Prepare branch-specific evidence
The MPOnline registration and amendment procedure identifies identity evidence and documents supporting the shop or establishment, including relevant tenancy, utility, ownership and constitution records. Use the items that genuinely establish the new location and applicant’s authority.
Prepare the new premises agreement or ownership evidence, complete address, activity description, legal employer details, management authorisation and workforce figures. Add the existing certificate where asking whether a connected location can be recorded by amendment. Provide a concise explanation rather than uploading an unexplained stack of documents.
The workforce statement should distinguish people assigned to the branch, people shared with head office and workers visiting storage premises. Avoid double-counting a shared employee in an organisation-wide total, while still disclosing their actual work at each relevant location. The registration form and law determine the figures required; the consolidated payroll total is not always an adequate substitute.
Use the genuine opening date. Lease signing, fit-out, incorporation and customer opening can occur on different days. Record what activity started when, especially if stock handling or office work preceded the public launch. Do not postpone the declared commencement to make a late application appear timely.
Use current deadlines rather than stale instructions
Under the December 2025 version of section 6, the employer applies on the portal within thirty days from the date the Act applies to the establishment. The portal generates the certificate from the prescribed information and fee. The law caps the prescribed registration fee at ₹2,500 per establishment; that cap is not a statement that every applicant pays ₹2,500.
The official procedural PDF still contains a seven-day start-of-business service entry and older scrutiny language. Do not treat that entry as overriding the subsequently substituted thirty-day statutory provision. Filing promptly before problems arise remains sensible, but distinguish an internal target from the verified legal deadline.
Changes in information under section 6 must be updated on the portal within seven days under the substituted section 7. The result is an amended or, if necessary, fresh certificate. This does not mean any new independent branch can be added to an unrelated address field without a coverage decision.
The substituted section 8 provides an online closure update within ten days. These 1958-Act deadlines should not be silently carried into the 2026 Code’s prescribed processes if the relevant provisions have commenced. Confirm the operative rules and transition route for the filing date.
Complete the filing and verify its scope
Access the service through the official Labour Department or MPOnline route. Check the establishment number and selected service before submitting. A single login may manage several establishments; it is not itself a certificate covering all of them.
If the authority confirms separate registration, submit the branch’s accurate facts and retain its own reference and issued certificate. If an amendment is accepted for a connected premises, verify that the resulting record actually captures the additional address or scope. A payment receipt alone does not prove that the intended location was included.
Where the portal cannot represent the proposed arrangement, request written instructions from the competent labour office. Include the premises map, current certificate and precise question. Do not solve an address-field limitation by declaring that the existing shop moved when it did not.
After issue, check legal employer, manager, category, address, opening details and any connected-premises information. Arrange display of the current registration document as required. Preserve the application and authority’s classification response so that a later inspection can understand why one or more records were obtained.
Keep each location’s record current
Allocate responsibility for reporting manager changes, workforce changes, new storage and closure at every address. The head-office compliance owner should receive these events promptly; waiting for annual accounts can miss short notice periods.
Closing one separately registered branch should not automatically cancel head office. Identify the correct number and actual cessation date. Where a connected godown is removed from a larger record, obtain the appropriate amendment rather than reporting that the whole business closed.
The official procedure describes lifetime treatment for registrations issued after 15 February 2014 under the March 2019 notification. This removes the need to assume annual renewal for those records, but does not remove amendment, display or closure responsibilities. An old certificate or later Code transition must still be checked on its own facts.
An accountant can maintain a location register alongside client work organised through assureOffice. It should identify certificates, supporting premises evidence and the person reporting changes. Information discussed through assureoffice.in can support that preparation, without implying a Gumasta filing feature or an automatic legal classification.
Frequently asked questions
1. Can two outlets in the same city use one unchanged certificate?
Do not assume so. Compare the recorded establishment with each outlet’s address, activity and control. A distinct operating branch needs a separate registration assessment even where the employer and municipal area are the same.
2. Does a storeroom inside the existing shop need separate registration?
It may form part of the same shop rather than an independent establishment. Check the premises description and whether the expansion changes declared particulars. Keep occupation evidence and obtain the appropriate amendment where required.
3. What about a godown at another address?
The shop definition includes connected storage elsewhere, so it should be disclosed and assessed. Ask how the authority requires that address to be recorded. The definition alone does not prove that an unchanged certificate is sufficient.
4. Can a godown be ignored if it has no permanent staff?
No automatic exclusion follows. Record stock, dispatch work, visiting workers and business connection. A location can require consideration even if nobody is stationed there continuously or separately paid from that address.
5. Is a common PAN enough to establish one registration?
No. PAN identifies the taxpayer, while the establishment assessment concerns premises and operations under the applicable framework. One legal employer can operate more than one establishment and hold multiple location records.
6. Should the manager be named as owner?
Only if that accurately reflects the legal facts. Otherwise identify the actual company, firm or proprietor as employer and supply the manager’s details in the appropriate field. Retain the manager’s appointment and filing authority.
7. Does one portal login cover all branches legally?
An account is an access facility. Examine each registration number and its recorded scope. Managing several applications through one account does not turn one certificate into an unrestricted statewide permission.
8. Can I amend the head-office address to the branch address?
That would be misleading if head office remains active. Explain that an additional location is opening and obtain the appropriate treatment. An address replacement should describe a genuine move, not conceal a second premises.
9. What if the branch is run by a franchisee?
Identify the actual employer and operator. Shared branding does not automatically make the franchisee’s establishment part of the franchisor’s registration. Review the agreement, premises rights and employee control separately.
10. What initial deadline applies under the updated 1958 Act?
The December 2025 substitution provides thirty days from applicability to the establishment. Older procedural material showing seven days should not override that enacted text. Also verify whether the 2026 Code has commenced for the relevant filing.
11. Is the fee always ₹2,500?
No. The updated Act states a maximum prescribed registration fee of ₹2,500 per establishment. Apply the actual rule-based assessment and current portal demand. A statutory ceiling is not a flat fee for every branch.
12. What is the change deadline under the 1958 framework?
The substituted section 7 requires portal updates within seven days of the change. Identify the actual effective date and correct record. Confirm any different prescribed process if the new Code’s provisions govern.
13. Has publication of the 2026 Code automatically repealed the Shops Act?
The Code requires appointed commencement, and its repeal provision operates from commencement. Publication alone does not answer that question. Establish the applicable notification and transition instructions before changing the registration approach.
14. Is the April 2026 Code document sufficient for current filing?
Use the enacted August 2026 text and applicable commencement instruments. Earlier circulated material differs from the final legislation. A draft or earlier proposal should not be treated as the operative filing instruction.
15. Does the new Code’s unique number mean every branch is automatically covered?
Do not infer that. Apply the actual registration, recognition and prescribed update provisions to the premises concerned. Obtain confirmation of how the new location maps to the existing record and designated system.
16. What documents should a branch keep?
Keep its premises evidence, employer identity and authority, activity note, workforce statement, application, acknowledgement and issued record. Add head-office documents and written classification instructions where the locations are connected.
17. How should shared employees be reported?
Explain where they work and reconcile branch-specific information with the overall workforce. Avoid omissions and unexplained duplicate totals. Use the categories requested by the law and application rather than assuming payroll allocation alone controls.
18. Can one branch close while head office continues?
Yes, the records should reflect that actual event. Use the correct branch number and closure route, or amend a larger connected-premises record as directed. Do not cancel an active head-office registration accidentally.
19. Does lifetime validity remove future filing duties?
No. It concerns periodic renewal. Changes, accurate premises information, display and closure responsibilities can remain. Preserve the legal basis for lifetime treatment and check any applicable transition directions.
20. What should I send the authority when the position is unclear?
Send the existing certificate and a short premises map showing each address, activity, employer, workforce and business connection. Ask whether the proposed location needs separate registration or amendment and how the current legal transition affects the route.
