Renewing a Delhi Commercial Lease: Stamp Duty, Registration and Changes to Rent or Term

A tenant remaining in the same Delhi office does not make a lease renewal legally invisible. The original deed, renewal option, notices and proposed extension document must be read together. A fresh term, changed consideration or new rights can require a new stamp and registration assessment even when the keys never change hands.

A tenant remaining in the same Delhi office does not make a lease renewal legally invisible. The original deed, renewal option, notices and proposed extension document must be read together. A fresh term, changed consideration or new rights can require a new stamp and registration assessment even when the keys never change hands.

The first question is what the parties are actually doing. They may be exercising an effective extension already contained in the original arrangement, entering a fresh lease following a renewal option, varying the rent during an existing term or simply continuing occupation without a properly documented new term. Those situations should not be treated as identical.

This guide addresses commercial premises in Delhi as at October 2026. It separates the registration test from the stamp calculation and identifies the papers needed to complete a review before the old term expires.

Read the original deed and proposed change together

Collect the signed original deed, registration endorsement, stamp evidence, amendments and notices. Identify the original start and expiry dates, renewal clause, notice period, conditions for renewal, rent increases, deposit and any requirement to execute another document.

The words renewal and extension are often used loosely in business emails. Their legal effect depends on the instrument and surrounding facts. Do not assume that a renewal option itself creates the next term without the required notice or further deed, and do not assume that every automatic extension provision requires precisely the same process as a fresh grant.

Proposed arrangement What to examine
New multiyear lease after expiry Fresh grant, consideration, stamping and registration
Exercise of an existing extension provision Original terms, notice and actual legal effect
Supplemental rent increase during the current term Rights varied and duty or registration treatment of the instrument
Extra floor or unit added Property description, additional rights and permissions
New tenant company replaces the old one Assignment, novation or fresh lease and authority
Continued occupation without settled documentation Legal basis of possession and the limits of the claimed term

A recommended renewal memorandum should state the transaction the parties intend, the documents needed and the deadline for each. This gives the accountant, property team and legal adviser a common set of facts.

Apply the registration test to the actual instrument

The Registration Act requires registration of leases from year to year, leases exceeding one year and leases reserving yearly rent, subject to the Act's specific provisions. An instrument creating or changing rights in immovable property can raise further compulsory-registration questions under the applicable categories.

A fresh three-year or five-year commercial lease should therefore not be treated as an ordinary email arrangement. Where the document requires registration, notarisation does not replace it. Purchasing an e-stamp also does not complete registration.

A short agreement may have different registration treatment, but it still needs proper stamping and a genuine assessment of what it creates. Breaking a negotiated long term into paper fragments should not be assumed to change the underlying transaction. Read lock-in, renewal, possession and payment rights together.

Failure to register a document requiring registration affects its ability to establish the relevant property transaction and its admissibility, subject to the statutory exceptions. It does not follow that the parties have no relationship of any kind, nor that every disputed term can be proved by an unregistered document. Obtain advice on the actual enforcement issue rather than treating a bank's acceptance of the deed as conclusive.

Stamp duty follows Delhi's lease provisions

Use the Indian Stamp Act as applicable to Delhi, particularly the relevant Article 35 treatment. Do not import Maharashtra's leave-and-licence formula or assume an office lease attracts the sale-deed calculation on the full market value simply because the premises is valuable.

For a fixed-rent lease without premium, the schedule distinguishes terms and the relevant valuation base:

Term described in the relevant lease Basic schedule approach
Less than one year Bond duty on the whole amount payable under the lease
At least one year and not more than five years Bond duty on average annual rent
More than five and not more than ten years Conveyance duty on average annual rent
Longer terms Different multiples or treatment under the relevant longer-term clause

For the ordinary bond-rate category, the rate is generally two per cent; special bond provisions should not be applied to a private office lease without a basis. For a longer lease linked to conveyance duty, identify the applicable rate and any relevant additional duty or concession for that instrument rather than using a universal sale-deed headline.

As a simple illustration, assume a fresh three-year fixed-rent lease at ₹60,000 monthly, with no premium and no other amount affecting the assessment. Average annual rent is ₹7.2 lakh. At the ordinary two per cent bond rate, the basic duty is ₹14,400. This illustration does not determine the treatment of a deposit, premium, special concession or another payment omitted from those assumptions.

The lease schedule, rather than a general sale circle-rate rule, determines the applicable rent-based measure for the relevant lease category. If a demand treats an ordinary rent-based lease as an outright sale without examining its terms, seek a reasoned classification and, where needed, adjudication or the available remedy.

Rent increases, premiums and deposits need a complete schedule

Build a month-by-month or year-by-year payment schedule for the proposed term. Include agreed increases, rent-free periods, premiums and any other consideration. Calculate average annual rent from the applicable transaction rather than multiplying the first month by twelve despite later increases.

A non-refundable premium and a genuine refundable security deposit are not interchangeable. Article 35 contains separate treatment where a fine, premium or money advanced is involved. Explain the purpose, adjustment rights and repayment terms of each amount instead of excluding it automatically because the draft calls it security.

Where a payment can be adjusted against the final months' rent, capture that feature. Where taxes or other sums are assumed by the tenant, assess whether they affect the relevant rent or consideration measure. Common-area maintenance, fit-out contributions and service charges should be examined on their actual terms rather than included or excluded indiscriminately.

Do not copy the old lease's duty receipt into the new file as if it covers all later rights. Conversely, do not assume the entire original consideration is taxed again whenever the parties sign a narrow supplemental document. The correct result depends on whether there is a fresh lease, a variation, an extension or another instrument and the applicable law.

Separate stamp duty from registration fees

Delhi Revenue's current published information lists a lease-deed registration fee of ₹1,000 per instrument plus ₹100 pasting fee. That is distinct from stamp duty. The page's general one-per-cent registration figure for other property documents should not be copied onto a lease without examining the specific lease entry.

Keep the stamp payment, registration fee, any other applicable official charge and professional drafting or facilitation fees separately identified. A combined package quotation makes it difficult to verify that the government received the correct amounts.

Where the draft contains unusual consideration, a very long term, multiple properties or a mixed transaction, seek the competent stamp authority's assessment before execution. An online calculation is useful only when the inputs and selected instrument category are correct.

Prepare the signatory and property papers

Identify the landlord and tenant accurately. Check whether the same legal entities remain parties or whether a merger, business transfer, partner change or group restructuring has altered the position. A new company cannot simply sign a renewal as if it were the old tenant because both use the same brand.

For an entity signatory, keep the relevant incorporation or constitution documents and valid authority, such as the appropriate board resolution, partner authority or power of attorney. Verify the signatory's identity as well as the authority to bind the entity. If an agent presents the instrument, assess the Registration Act requirements for that representation.

Prepare the original lease particulars, title or lessor-authority evidence, accurate premises description and relevant plan. State the unit, floor, area, property identifiers and any additional space clearly. Resolve inconsistencies before filing rather than leaving a renewal to perpetuate an old address error.

Review property-specific restrictions. A DDA, industrial, government or other superior lease may restrict subletting, use or transfer. Registration does not by itself grant an approval required under the superior title or permit an unauthorised commercial use. Obtain the relevant consent where applicable and retain it with the deed.

Prepare the executed document, correct e-stamp, fee payment, identity papers, authority documents and witnesses required by the current Sub-Registrar checklist. The exact submission set depends on the property and transaction; do not demand a sale-only certificate for every ordinary rent renewal without a basis.

Complete the Delhi registration process

Use the official Revenue registration and appointment links. The published process requires the instrument to be presented, the relevant parties or valid representatives to appear, and the prescribed identification, photographs and biometric steps to be completed. Keep the appointment and payment records with the submission.

Property documents should be presented at the appropriate Delhi registration office under the applicable jurisdiction and current allocation arrangements. A Delhi lease cannot simply be registered in Gurgaon, Noida or Ghaziabad because one signatory lives there. Do not treat a notary outside Delhi as an alternative registration office.

The appointment is a service step, not proof of registration. Track scrutiny, any deficiency or stamp referral, admission of execution and the final registered instrument. Read the completed endorsement and document number and compare the stored copy with the deed approved by the parties.

Online search or DORIS records can help reconcile the old registration particulars. They do not replace the need to identify the exact original document or establish that every later email was registered. Keep a clear chain from the original deed through each valid amendment.

Timing and delayed documents

Stamp an instrument executed in India before or at execution as required. The ordinary registration presentation period is four months from execution. Do not confuse the new lease's commencement date, the date of an email negotiation and the date the parties actually sign the deed.

Section 25 allows limited relief where urgent necessity or unavoidable accident caused delayed presentation, within the prescribed further period and subject to the Registrar's discretion and a fine not exceeding ten times the proper registration fee. It is not a routine entitlement to postpone every lease by another four months.

Delayed appearance and other exceptional circumstances have their own provisions. Obtain the correct route for the actual problem. Do not backdate a deed or pretend that a document signed months earlier was executed today to avoid explaining a delay.

Before expiry, update the business's premises-proof file and relevant licensing or banking records once the renewal is complete. A pending renewal may be meaningful evidence of negotiations but is not the same as a completed registered multiyear term. assureOffice can accompany the financial review and document handover; legal drafting and registration remain separate professional work. Information at assureoffice.in should not be understood as a lease-registration feature.

Frequently asked questions

1. Is an email agreeing to extend the lease enough?

It depends on the original rights and actual transaction, but an email does not replace compulsory registration of a fresh multiyear lease. Read the renewal clause and proposed instrument before relying on it.

2. Does staying in the same office remove fresh document work?

No. A fresh term or changed rights can need new stamping and registration even without physical relocation. Continued possession does not itself establish every term the parties intended.

3. Are renewal and extension always legally identical?

No. Their effect depends on the original instrument and the steps required to create the further term. Avoid deciding the issue from the heading of a business email alone.

4. Must a fresh three-year lease be registered?

A lease exceeding one year falls within the ordinary compulsory-registration rule. Complete the proper instrument and registration process rather than treating notarisation as a substitute.

5. Is every eleven-month arrangement automatically free of duty?

No. Registration and stamp duty are separate. The short-term lease category has its own duty measure, and the actual rights and arrangement still need classification.

6. Can Maharashtra's licence formula be used in Delhi?

No. Apply Delhi's relevant stamp provisions. A formula involving a different State's deposit-interest treatment should not be imported merely because both documents concern offices.

7. How does a rent increase affect the calculation?

Use the actual payment schedule for the relevant term and valuation base. Where the rent escalates, the first month's amount alone may not produce the correct average annual rent.

8. Can every refundable deposit be ignored?

Do not assume so. Examine whether it is genuinely refundable security, adjusted rent or money advanced within the applicable provision. Record the actual terms and obtain assessment where treatment is uncertain.

9. Is a premium treated exactly like monthly rent?

No automatic equivalence applies. The lease schedule has specific treatment for a fine, premium or advance, including where rent is also reserved. Disclose the full consideration structure.

10. What is the published Delhi lease registration fee?

The current Revenue page lists ₹1,000 per lease instrument plus ₹100 pasting fee. This is separate from stamp duty and any other properly applicable charge.

11. Should one per cent registration fee be applied to every lease?

Do not copy the general property entry over the specific lease entry. Determine the actual instrument and use the current official lease fee treatment for the transaction.

12. Can a Delhi lease be registered in Noida or Gurgaon?

Not as an ordinary substitute for the appropriate Delhi office. The property's location and applicable registration jurisdiction matter, not simply where a signatory finds a convenient appointment.

13. Does an appointment receipt prove registration?

No. Preserve the final registered document and endorsement. An appointment only reserves a service step and does not establish that scrutiny and admission of execution were completed.

14. What authority does a company signatory need?

Keep the valid authority required for that entity and transaction, along with identity evidence. A business card or the person's status as an employee does not by itself establish authority to grant or take a lease.

15. Does registration override superior-lease restrictions?

No. Review DDA, government, industrial or other title conditions and obtain any required consent separately. Registration does not legalise an otherwise unauthorised use or subletting.

16. When must an ordinary deed be presented?

The general period is four months from execution, subject to the Act's specific provisions. Record the real signing date and plan presentation before the deadline.

17. Is another four months always available on payment?

No. Section 25 relief depends on its stated grounds, time limit and the Registrar's decision. The fine ceiling does not create an unconditional extension for administrative convenience.

18. Can a backdated deed cure a late renewal?

Do not falsify execution history. Record the actual dates and obtain the lawful treatment for delayed presentation, insufficient stamping or a gap in documentation.

19. Does an unregistered extension affect other premises records?

It can leave the business without the completed evidence it expected to use for banking or licences. Review the particular requirement and provide the legally appropriate document rather than assuming another agency's acceptance cures the defect.

20. What should the final renewal file contain?

Keep the original lease, renewal notices, final instrument, duty calculation, payments, authority documents and registration endorsement. Reconcile the premises description and new term with the business's other records.
