Start with the statutory and group reporting frameworks
Indian statutory financial statements follow the applicable accounting standards prescribed under the Companies Act, 2013. Check the Ind AS roadmap, group relationships, sector-specific rules and any permitted voluntary adoption. A US parent may require a separate US GAAP reporting package. Determine the group’s reporting obligations and accounting elections rather than assuming every US parent is an SEC registrant or has the same policies.
| Topic | US GAAP | Ind AS |
|---|---|---|
| Lessee accounting | ASC 842 generally recognises a right-of-use (ROU) asset and liability for both finance and operating leases; operating leases ordinarily have one lease cost. | Ind AS 116 generally presents depreciation and interest separately; the short-term and low-value exemptions are elections where applicable. |
| Revenue and commissions | ASC 606 uses the five-step revenue model; ASC 340-40 addresses incremental acquisition costs. | Ind AS 115 uses a broadly similar model, including incremental acquisition costs. Legacy Indian AS is a different framework. |
| Employee stock awards | ASC 718 permits an attribution policy choice for qualifying graded vesting awards with only service conditions. | Ind AS 102 treats instalments with different vesting periods separately. Update expected forfeitures for relevant non-market vesting conditions. |
| Software | The applicable model depends on the intended use: external sale, lease or marketing; internal use; or other R&D. | Research is expensed; capitalise qualifying development from the date all recognition criteria are met. |
| Convertible instruments | Apply the relevant liability, equity and derivative guidance to the actual terms; SEC temporary equity is a separate presentation analysis where applicable. | Test for contractual payment obligations and the own-equity settlement terms; separate liability and equity components only when both exist. |
| Goodwill and income tax uncertainty | Private company goodwill alternatives depend on eligibility and election. ASC 740 applies its own recognition and measurement to tax positions. | Goodwill is tested for impairment, not amortised. Appendix C to Ind AS 12 governs uncertain income tax treatments. |
Leases, revenue and equity awards
For ASC 842, review all finance lease indicators: ownership transfer, a purchase option reasonably certain to be exercised, a major part of remaining economic life, substantially all fair value, or a specialised asset with no alternative use to the lessor at term end. The 75% and 90% levels are one reasonable approach under implementation guidance. The short-term lease election generally uses 12 months or less and excludes a lease with a purchase option reasonably certain to be exercised. Ind AS 116 also has a separate exemption election for leases of low-value underlying assets.
Under both revenue frameworks, analyse distinct performance obligations, variable consideration, whether a payment to a customer buys a distinct good or service, and the applicable constraint. Delay penalties and rebates that change consideration for performance are not reclassified as operating costs merely because the contract uses a different label. For licence renewals consider when the customer can use and benefit from the rights and how a licence or service transfers. Under ASC 606’s specific renewal rule, the renewal period must have begun before revenue for the renewed licence is recognised. For subscription access or combined promises, analyse the actual arrangement.
Under ASC 718, the straight-line policy for a graded vesting service-only award is subject to the minimum amount attributable to the vested portion at each date. The forfeiture policy election applies to forfeitures from service conditions within its applicable scope. Under Ind AS 102, update the quantity expected to vest for non-market vesting conditions rather than treating every valuation input as a forfeiture adjustment.
Worked examples
1. Four-year lease with end-of-year payments
A 30,000 sq ft office lease starts at ₹100 lakh a year and escalates 5% annually. Assume 9% for both frameworks, no incentives, prepayments or initial direct costs, no impairment, no transfer of ownership and operating classification under ASC 842 after applying the full criteria. Initial ROU asset and liability each equal ₹347.2618 lakh. Total fixed payments are ₹431.0125 lakh and annual straight-line operating lease cost is ₹107.753125 lakh. Ind AS depreciation is ₹86.8155 lakh per year. The amounts below are in ₹ lakh; independently rounded lines may not add.
| Year | Cash | Liability interest | Closing liability | Ind AS expense | US operating cost | US minus Ind AS expense |
|---|---|---|---|---|---|---|
| 1 | 100.00 | 31.25 | 278.52 | 118.07 | 107.75 | -10.32 |
| 2 | 105.00 | 25.07 | 198.58 | 111.88 | 107.75 | -4.13 |
| 3 | 110.25 | 17.87 | 106.20 | 104.69 | 107.75 | 3.07 |
| 4 | 115.76 | 9.56 | 0.00 | 96.37 | 107.75 | 11.38 |
| Total | 431.01 | 83.75 | 0.00 | 431.01 | 431.01 | 0.00 |
Year 1 US GAAP lease expense is ₹10.32 lakh lower, before tax. The operating lease ROU reduction is ₹107.753125 lakh less ₹31.2536 lakh of liability accretion, about ₹76.50 lakh. A consolidation bridge should reconcile both ROU assets and expense presentation; the liability schedule is the same here only because the inputs and measurement assumptions match.
2. Commissions on ₹45 crore of SaaS subscriptions in FY 2023–24
The entity pays ₹3.60 crore only on successful contracts. Assume recoverability, a supportable four-year amortisation period based on expected renewals, and no commensurate renewal commission. Both ASC 340-40 and Ind AS 115 capitalise qualifying incremental costs and amortise them over the period of related transfers. Each permits immediate expensing when the otherwise applicable amortisation period is one year or less. Under the four-year assumptions, expense is ₹90 lakh in year one and the remaining contract-cost asset is ₹2.70 crore. If the legacy Indian AS ledger expensed the fee and tax also deducted it immediately, the year-one US expense bridge is ₹2.70 crore and, at an assumed enacted reversal rate of 25.168% with nil tax base, the DTL is ₹67,95,360. Neither the four-year period nor the tax treatment follows from the contract term alone.
3. Graded vesting: 400,000 options granted 1 April 2023
Assume service-only vesting, 100,000 options and ₹1.20 crore of grant-date fair value in each annual tranche, and no forfeitures. In year one the tranche charges are ₹120 lakh, ₹60 lakh, ₹40 lakh and ₹30 lakh. The four annual Ind AS charges are ₹250 lakh, ₹130 lakh, ₹70 lakh and ₹30 lakh. A qualifying US straight-line policy gives ₹120 lakh each year on these assumptions. Year one is 52.08% versus 25% of the ₹480 lakh total, a ₹130 lakh expense difference. Value actual tranches using the relevant terms; equal option counts do not establish equal values.
4. Software developed for external commercial sale
Assume ₹2 crore of research from April to July and ₹4 crore of later directly attributable development costs. If all six Ind AS 38 criteria were met on 31 July, capitalise the ₹4 crore incurred after that date. These criteria address technical feasibility, intention and ability to complete and use or sell, probable future economic benefits, resources to complete, and reliable cost measurement. Under ASC 985-20, expense costs before technological feasibility and capitalise eligible subsequent production costs until general availability. If no US technological feasibility milestone was reached during the year, the US expense is ₹6 crore and the bridge reverses the ₹4 crore asset. General beta availability is not the feasibility test. If the software is instead internal-use or hosted without transfer of a software licence, identify the applicable US guidance and effective dates rather than defaulting to ASC 985-20.
5. Convertible preference shares linked to future EBITDA
One million shares at ₹10 face value plus ₹90 premium raise ₹10 crore. A mandatory annual dividend of 0.01% is ₹1,000 if applied to aggregate face value; use the contractually specified base. An EBITDA-linked variable share settlement in year five does not meet the ordinary fixed-for-fixed equity test on the stated facts. Under Ind AS 32 and 109, analyse the payment obligation, conversion feature, and any separate derivative or applicable measurement designation. Liability classification does not itself require the whole instrument to be measured at fair value through profit or loss. Under US GAAP assess ASC 480 and ASC 815, including whether the share obligation has the characteristics covered by ASC 480 and whether a feature must be separated. No cash redemption and variable conversion alone do not establish temporary equity. The facts are insufficient to compute a fair value or a remeasurement charge.
6. ₹12 crore of goodwill on a ₹50 crore acquisition
Assume the goodwill is recognised at the relevant reporting level; in a simple wholly owned acquisition without other adjustments this implies ₹38 crore of identifiable net assets. Under Ind AS 36 allocate goodwill to the relevant CGU or group of CGUs and test annually and when indicated. Recoverable amount is the higher of value in use and fair value less costs of disposal. If the eligible private US parent elects the ASC 350 alternative and uses ten years, amortisation is ₹1.20 crore annually or ₹10 lakh monthly, with impairment testing on a triggering event. A shorter useful life may be appropriate. Acquisition goodwill at parent consolidation is not automatically recognised in the Indian subsidiary’s separate accounts.
7. Uncertain income tax treatment of a ₹4.50 crore transfer pricing adjustment
The proposed adjustment is to taxable income, not a tax reserve. At an assumed 25.168% rate, full incremental tax would be ₹1,13,25,600, before interest, penalties or other effects. Under Appendix C to Ind AS 12, assume the authority examines the treatment with full knowledge. If acceptance is not probable, reflect the uncertainty using the most likely amount or expected value, whichever better predicts the resolution. Under ASC 740 first determine whether the position is more likely than not to be sustained on its technical merits. If that recognition threshold is met, measure the largest amount of tax benefit more than 50% likely to be realised. If the tax position has only a 40% probability of being sustained on its merits and fails recognition, do not recognise the benefit of that position; a probability of avoiding settlement is not necessarily the technical-merits probability. There is no basis here for a ₹2.25 crore reserve.
Build a reporting bridge
- Map the local ledger to group accounts, documenting accounting elections and transaction-level differences.
- For each recurring adjustment, reconcile opening and closing balances, P&L, cash flow presentation and any tax effect.
- Retain the schedules, approvals and sign conventions used to support each group adjustment. Test the reporting workflow before relying on it.
Frequently asked questions
1. Can US GAAP replace Indian statutory financial statements?
A separate group package does not replace the Companies Act statements prepared under the applicable prescribed Indian standards.
2. Why can EBITDA differ on the same lease?
A single US operating lease cost is generally an operating charge; Ind AS depreciation and interest are typically excluded by an EBITDA definition. Reconcile the specific metric definition.
3. How do the frameworks treat currency translation?
Both use functional currency and generally present translation differences of foreign operations in OCI. Check the applicable disposal and recycling rules; legacy AS 11 options are not a general Ind AS 21 rule.
4. Can private company alternatives be used in the US package?
Apply an alternative only where the reporting entity is eligible and has elected it. Do not carry that election into Ind AS statutory accounts.
5. How are loyalty points and upfront fees treated?
Assess whether loyalty rights or upfront activities transfer a distinct good or service and allocate consideration as required. A tax invoice or GST time of supply does not on its own determine revenue recognition.
6. How do teams control dual-framework adjustments?
Maintain a reconciliation with source evidence, approved journal logic, tax effects and review of reversals. Verify any software features in the reporting setup you use.
